What You'll Do

Real deals. Real diligence. Real LOIs.

Live MW deal · Full-stack diligence · IC-grade output.

Every fellow is assigned a target industry from MergeWorks's active acquisition strategy. You don't do a case-study project. You source and structure deals from MW's real pipeline — the same targets we are actively evaluating.

Advanced fellows compress the sourcing intro (done by Week 2), take on a live MW deal in Week 1, and spend the deep middle of the program on full financial + operational diligence, LOI drafting, advanced deal structuring, IC memo, and capstone. Every deliverable is IC-grade and shippable to MW leadership. Named participation on the deal team for deals you materially advance.

Standard Track

Deal Sourcing at Scale

30 sourced targets per week per fellow — 15 community deals + 15 operating businesses across your assigned vertical. Direct broker outreach, cold sourcing, Flippa/Empire Flippers, and MW's active-deal network.

Cumulative: 3,600+ deals sourced by cohort
Standard Track

Real LOIs via Portal LOI Builder

Every fellow drafts a real LOI on a real deal using the MW portal LOI Builder — auto-generated creative capital stack (no SBA), walk-away numbers, MW-branded PDF export, admin review before it reaches an owner.

Standard Track

Monetization Roadmap on Canva

Industry Deep-Dive on a Live MW Deal

Assigned an active MergeWorks deal or vertical in Week 1. Read the CIM, model the P&L, review the diligence work done to date. Form your own thesis. Weekly 1:1 with Chien or Trisha to lock your role in the deal from Day 1.

Live deal ownership · not case studies
Advanced Track

Full-Stack Diligence at Advanced Speed

Full financial DD, operational + customer DD, LOI drafting on the live deal, and advanced no-SBA capital structuring — compressed into Weeks 4-7. IC-grade output on MW's real templates. Weekly 1:1 with Chien or Trisha to pressure-test your work. This is the meat of the program: real deals, real numbers, real decisions.

Deal-work-first · not lecture-first
Advanced Track

IC-Grade Memo + Named Participation on Deals You Advance

Full Investment Committee memo formatted to MW's real IC standard on your live MW target. Real work · real attribution · real deal team
Required · Both Tracks

Content Portfolio + Personal Brand

Every fellow ships a content portfolio during the program. The point: you leave positioned as an investor with a real portfolio of work — not just a résumé line. Four required deliverables:

1. Owner & Broker Interviews
Minimum 2 recorded interviews with real business owners or brokers on the MW 12-question set — video required.
2. Industry Research Report
A full research report on your assigned vertical — TAM, competitive landscape, deal-flow map, MW-fit thesis.
3. Capstone Deliverable
IC Memo + Monetization Roadmap + Capstone Presentation on your best-in-cohort deal — presented live to MW leadership.
4. Documented Journey OR Taught Topic
Weekly LinkedIn / Substack / Twitter posts documenting what you learn as you source real deals — OR teach one M&A topic you already know cold (written guide, recorded workshop, or live cohort session).
Why this matters: your capstone + published body of work becomes the portfolio you take to future employers, LPs, sellers, and MW itself when we're deciding who gets attribution on a live deal. Fellows who publish get seen.
27 Acquisition Verticals

The verticals you can be assigned to

Every fellow is matched to a target vertical from MergeWorks's active acquisition strategy. You rank your top preferences on the application; we assign based on cohort fit, background, and where MW has live pipeline. Four verticals are newly added to the strategy (tagged NEW).

Curriculum

12 weeks · Source, Structure, Close

12 weeks · Compressed · Deal-work first, every week

Every week compounds. By week 3 you are on the phone with real owners. By week 6 you are drafting real LOIs on real deals. By week 12 your capstone is a fully-structured acquisition case MW can act on.

Advanced fellows are assigned a live MW deal in Week 1 and follow a compressed, deal-work-first arc. Sourcing intro is done by Week 2. Financial DD, operational DD, LOI drafting, and advanced structuring compress into Weeks 4-7. Content portfolio + IC memo + capstone through Weeks 8-12. Same 12 calendar weeks — roughly 3x the density. Capital raising is MW's job; your job is the deal.

Ongoing learning loop — every 3 weeks Weekly Deal Reviews with MergeWorks partners run every week from Week 3 onward — bring the deals you sourced, get real MW feedback, iterate. On top of that, every fellow gets a 1:1 Deal Walkthrough with MW roughly every 3 weeks (mandatory at Week 5, then again around Weeks 8 and 11) so you keep improving on YOUR specific pipeline, not just the group content. Advanced fellows get 1:1 office hours weekly.

Meet the cohort. Get your target vertical from the MW active-strategy list. Ship a full industry research report on your assigned market by end of week.

This is capital literacy for LOI drafting — you learn how MW raises so your deal structures are credible. MW handles the actual capital raising.

Week 4
Financial Due Diligence Sprint (compressed to 1 week)
P&L normalization · add-back verification · owner-comp adjustments · working capital analysis · payer / customer concentration · valuation ranges · QoE prep. GROUP deliverable: full Financial DD model + Go/No-Go memo on your live deal. Mandatory 1:1 with MW mid-week to pressure-test your numbers.
Week 5
Operational & Customer DD + Red-Flag Report (compressed)
The 15-signal Operational DD framework across 5 categories (Customer & Revenue · Owner Dependency · Operations · Team & Culture · Value Creation). Deliverable: Red-Flag Risk Report + Value-Creation Opportunity List on your live deal. Updated Go/No-Go recommendation with rationale.
Week 6
Advanced Deal Structuring + LOI v2 + Alt-Funding Deep-Dive

Deep-dive on the MW 216 creative funding strategies — seller notes, earnouts, rollover equity, consulting offsets, RBF, ABL, preferred equity mechanics. Model 3 alternative capital stacks per deal. Trisha + Chien on the call to critique your structure vs how MW would actually structure it.
Week 7
📝 Content Sprint — Owner Interview #2 + Industry Report + Documented Journey
Full content-portfolio push week. 2nd recorded owner/broker interview. Publish your industry research report on your assigned vertical (TAM, competitive landscape, deal-flow map, MW-fit thesis). Kick off your documented-journey series (LinkedIn / Substack / Twitter) OR your taught-topic deliverable. Content workshop with MW on positioning yourself as an investor publicly.
Week 8
IC Memo Draft v1 + Data Room Build
Full Investment Committee memo formatted to MW's real IC standard on your live target. Build the data room for the deal. Confirmatory diligence prep. Second mandatory 1:1 with MW on the memo draft — real feedback on what a real IC would ask.
Week 9
Deal Closing Mechanics · APA · Working Capital · Escrow
How SMB acquisitions actually close. Asset Purchase Agreement mechanics · working-capital true-up math · escrow · holdback · indemnification caps · reps and warranties · LOI → PSA → Close timeline choreography. Live walk-through of a real MW closed deal's structure (anonymized).
Week 10
Portfolio + Personal Brand Sprint + Capstone Shape
Final push on your content portfolio — publish, teach, or ship the taught-topic deliverable. Capstone presentation shape locked. IC Memo v2. Third mandatory 1:1 with MW to pressure-test the capstone. You now have: a real deal analyzed, an IC memo, a content body of work, and a public portfolio positioning you as an investor.
Week 11
Internal M&A Operating System + AI Agent Stack (Compressed)
Build the M&A OS SOP Pack · pod workflow diagram · AI agent prompt library for research, memo, outreach, CRM. Compressed to one week because Advanced fellows are already operating like professionals — this is codifying what you have been doing.
Week 12
IC Presentation · Capstone · Real Deal Go / No-Go
Present your live deal to MW leadership + selected portfolio operators as a REAL go / no-go decision. Not a rehearsal. Advanced capstones become the basis for actual MW investment committee review. Named participation extended on deals MW pursues from Advanced Track work.
The Path After the Program

Fellow → Co-Sourcer → Operating Partner

You don't just leave with a resume line. Top performers continue as MW Co-Sourcers with real deal-flow economics, and a documented path to operating roles and equity on closed acquisitions.

Who Should Apply

This is for sourcers. Fellows do the reps.

The Standard Track is deal-work heavy from Week 2 onward. You will make cold outreach calls, read P&Ls, sit on real owner interviews, and draft a real LOI. We teach the M&A stack end-to-end (sourcing, diligence, LOI, capital structuring, exit) — you need to bring the willingness to do the reps.

Good fit

  • Undergraduate students, recent graduates, or early-career professionals interested in M&A, private equity, entrepreneurship, or search funds
  • Comfortable reading a P&L (or willing to learn fast) and doing basic financial math
  • Willing to do 30 cold-outreach touches per week to sellers and brokers
  • Career switchers moving from finance / consulting / operations / law toward M&A
  • People who want to co-source real deals with a working firm, not just study cases

Not a fit

  • Passive learners looking for a lecture series or textbook curriculum
  • Looking for a paid job or paid internship upfront
  • Cannot commit 8-12 hrs/week for 12 weeks
  • Cannot show up live to Friday evening sessions (Standard 5:30-7 PM EST · Advanced 7-8:30 PM EST)
  • Uncomfortable with cold outreach or having live conversations with business owners
Common Questions

FAQ

Is there a cost to enroll?

There is a $500 refundable enrollment deposit paid upfront when you accept your seat. The deposit is returned in full when you complete the program — this is written into the fellowship contract very clearly. The deposit exists to ensure cohort commitment (you have real skin in the game, so does everyone sitting next to you), not to gate access. Everything else is included: full curriculum, portal LOI Builder, Monetization Roadmap Canva template, live deal reviews with MW leadership, and access to MW's real acquisition pipeline. Sourcing-fee participation and equity opportunities on closed deals are earned through performance in the cohort, not paid upfront.

What content am I required to produce?

Every fellow ships a content portfolio during the program — the point is to leave positioned as an investor with a real portfolio of work, not just a résumé line. Four required deliverables: (1) minimum 2 recorded owner or broker interviews on the MW 12-question set (video required); (2) a full industry research report on your assigned vertical (TAM, competitive landscape, deal-flow map, MW-fit thesis); (3) a capstone deliverable (IC Memo + Monetization Roadmap + live presentation to MW leadership); and (4) EITHER a documented-journey series (weekly LinkedIn / Substack / Twitter posts on what you're learning as you source real deals) OR a taught-topic deliverable (teach one M&A topic you already know cold — written guide, recorded workshop, or live cohort session). Fellows who publish get seen.

Do I get to work on real MergeWorks deals?

Yes. Every fellow is assigned a target vertical from MW's active acquisition strategy and sources into that pipeline for 12 weeks. Deals you source that MW pursues are attributed to you. Top-performing Fellows continue as MW Co-Sourcers post-cohort with named participation on deals they help close.

What's the time commitment?

Standard Track: 8-12 hrs/week including the Friday session (5:30-7 PM EST, 90 min) plus your own sourcing, diligence, and journal time. Advanced Track: 10-15 hrs/week including the Friday session (7:00-8:30 PM EST, 90 min) plus a weekly 1:1 with Chien or Trisha plus live-pipeline work. Weeks 6, 10, and 12 are heavier for both tracks due to LOI + Roadmap submissions and Capstone Day. Advanced Weeks 4-5 are heavy (compressed financial + operational DD) and Week 7 (content sprint).

What will I learn?

The full M&A stack for small-to-mid-market acquisitions: deal sourcing (broker + direct outreach + community channels), financial diligence (P&L normalization, add-backs, working capital, QoE), the 216 MW creative funding strategies (no-SBA capital structuring), LOI drafting via the portal LOI Builder, Monetization Roadmap design on Canva, valuation and comps, IC memo writing, and exit modeling.

What if I can't finish the program?

You can withdraw at any time. All deal work stays with MergeWorks per the confidentiality + IP assignment terms, and no post-cohort economic participation survives early exit. The $500 enrollment deposit is not refunded on early withdrawal — deposit refunds are tied to completion (see the Completion Contract section). We prefer you finish. If life happens, tell us early and we will figure it out.

What exactly counts as completing the program?

Seven criteria (all required): attend Friday sessions live with a maximum of 2 missed weeks across the 12, hit weekly deliverables, hit the sourcing cadence, ship all 4 content-portfolio items, attend all mandatory 1:1 walkthroughs, submit LOI + DD deliverables, and present the capstone live in Week 12. Full breakdown in the Completion Contract section. All 7 items are written into the fellowship contract you sign at acceptance.

How is my application evaluated?

We look at genuine interest in M&A + operating businesses, communication clarity, comfort with numbers, willingness to do cold outreach, and mindset. We are not looking for perfect finance-major resumes. We are looking for people who will actually do the work.

Can I see examples of what past cohorts produced?

Yes. Daria Popescu's "Trust Before Terms" capstone (cross-vertical wellness → e-commerce framework) and Dhruv Patel's HVAC maintenance-penetration capstone (both now used inside every MW Deal Review) are reference-quality examples. Ask during the interview.

Is this credit-eligible for school?

Sometimes yes, sometimes no. We can provide documentation for internship credit if your school allows it. Ask your career center. Handshake lists this as an experience-based program.

Completion Contract

What counts as completing the program

The $500 enrollment deposit is refunded when you complete the program. These are the exact criteria. All of them are written into the fellowship contract you sign at acceptance.

Required · All 7 items
  1. Attendance. Attend the live Friday session every week (Standard 5:30-7:00 PM EST · Advanced 7:00-8:30 PM EST). Miss up to 2 sessions across the 12 weeks. The 3rd miss forfeits completion. Missed sessions must be caught up via recording + a 200-word async note within 7 days.
  2. Weekly deliverables. Every weekly assignment submitted on the fellowship portal by end of week. Includes sourcing logs, deal-review submissions, LOI drafts, DD models, and roadmap deliverables per the curriculum.
  3. Sourcing cadence. Hit the weekly sourcing quota. Standard: 30 targets per week (15 community + 15 operating) from Week 3 onward. Advanced: 60 per week Weeks 1-2, then 30 per week. Sourcing is tracked in the portal Pipeline.
  4. Content portfolio. All 4 required deliverables shipped: minimum 2 recorded owner or broker interviews · full industry research report on your assigned vertical · capstone (IC memo + Monetization Roadmap + presentation) · documented-journey series OR taught-topic deliverable.
  5. Mandatory 1:1 walkthroughs. Attend the mandatory 1:1 Deal Walkthroughs with MergeWorks (Standard: Weeks 5, 8, 11 · Advanced: Weeks 4, 8, 10). Rescheduling within the same week is fine; skipping is not.
  6. LOI + DD deliverables. Submit at least 1 real LOI on the portal LOI Builder · complete the Week 7 Financial DD group deliverable (model + memo) · complete the Week 8 Red-Flag Risk Report.
  7. Capstone (Week 12). Present your capstone live to MergeWorks leadership on Capstone Day. This is the final gate. No async substitution.
✅ Deposit Refund

Meet all 7 criteria above

$500 deposit refunded within 14 business days of Capstone Day via original payment method. Confirmation email sent from mafellowship@mergeworks.org with refund transaction ID.

❌ Forfeits Completion

Any of the following

  • 3+ missed Friday sessions (any reason)
  • Missed mandatory 1:1 walkthrough
  • Skipped or absent capstone presentation
  • 2+ major weekly deliverables missed
  • Withdrawal before Week 12
Withdrawal is welcome and non-punitive. If life circumstances change and you need to leave the program, tell us early. Exceptions to any of the above are at the discretion of MW leadership and documented in writing. Serious medical, family, or personal emergencies are handled case-by-case; contact mafellowship@mergeworks.org as early as you can.
